Delve+ Terms and Conditions of Service

These Terms and Conditions of Service were last updated on 30 July 2024.

Delve+ is the podcast subscription service of Newsroom NZ Limited. It provides access to premium podcast content to members streamed via the internet to computers and mobile devices via a variety of software or apps, and may include premium written content and articles.
Your access to and use of the Service is conditional on your acceptance of, and compliance with, these Terms of Service and the Privacy Policy. By accessing or using the Service, you agree to be bound by these Terms of Service and the Privacy Policy.

Membership/Billing/Cancellation

Your subscription will continue until terminated. In order to use the Service, you will need access to the internet via a podcast-ready device, and to provide us with a current, valid, accepted method of payment (“Payment Method”). By electing to subscribe to a subscription service, you authorize us to automatically renew your subscription for subsequent new terms of the same duration and to charge the applicable fee until you affirmatively cancel your subscription.

We shall be authorized to charge the membership fee for each subsequent billing cycle to your designated Payment Method, and your subscription will continue, until you cancel your membership.

To use the Service you must provide one or more Payment Methods and may be asked to supply certain information relevant to your subscription (including your name, email, phone number, credit card or debit card number, the expiration date of your credit or debit card, and your billing address).

You represent and warrant that you have the legal authority to use any credit card, debit card, or other Payment Method in connection with your membership, and that the information you supply to us is true, correct and complete. Your Payment Method will be charged the membership fee for the Service, and if your primary Payment Method is declined, you authorize us to charge any other Payment Method associated with your account.

The length of the billing cycle depends on the type of subscription you select when you sign up for the Service. You will be responsible for any uncollected amounts, and if a payment is not successfully remitted (whether due to expiration, insufficient funds, or otherwise), we may suspend your access to the Service until the payment has been properly remitted via a valid Payment Method. The Service may employ the use of third party services in order to facilitate payments; by submitting your information, you grant us the right to provide the information to such third parties subject to our Privacy Policy. For certain Payment Methods, the issuer may charge you fees (for example, foreign transaction fees, or processing fees). Additionally, local tax charges may vary depending on which Payment Method is selected.

You agree to pay all fees and other charges applicable to your subscription Service account, including any applicable taxes. We may update your Payment Method using information provided to us by the applicable payment service providers.

In the event that you update your Payment Methods, you authorize us to continue to charge such Payment Method. We assume no responsibility or liability if your subscription does not renew or otherwise expires due to outdated or incorrect payment information.

From time to time, we may change our subscription plans or our pricing; any such changes will apply to future billing cycles following our notice to you of the applicable changes.

You may cancel your membership to Delve+ at any time. Upon cancellation, your account will close at the end of the current billing period, and you will no longer have access to the Service. Except as required by New Zealand law, payments to the Service are non-refundable and refunds/credits for partial membership periods will not be provided, nor will you have access to Delve+ content not consumed prior to cancellation.

Delve+ Service

You must be 18 years of age to become a member of Delve+ Service. People under the age of 18 may only use the Service under the supervision of an adult.
These feeds are for personal use only. No audio or text may be posted to a website, distributed to a third party, used for a public performance or broadcast via any means except with the express permission of Newsroom NZ Limited.
All material is the copyright of Newsroom NZ Limited or used by permission.
You may not use any data mining, data gathering or other extraction methods in connection with your subscription to the Service or access to Delve+ content. If you violate any of these Terms of Service, or engage in illegal or fraudulent use of the Service, we may terminate or restrict your membership.

You may not use nor authorize others to use any content or other material on the Service to train language models, machine learning tools, or artificial intelligence systems without our prior written consent.

The quality and download speed of the Delve+ content may vary depending on the device used, or a variety of other factors including your location, the speed of your internet connection, or your geographic location. We do not warrant that the Service will function uninterrupted, secure or available at any particular time or location.

The person who created the Delve+ account and whose Payment Method is charged shall be referred to herein as the “Account Owner.” The Account Owner has access to, and control over, the account and any devices used to access the Service and shall be responsible for any activity that occurs via the Delve+ account. The Account Owner should not reveal the password or any details of the Payment Method associated with the account to third parties.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You are responsible for updating and maintaining the accuracy of the information you provide to us regarding your account. Your account may be terminated, and/or your account placed on hold, as we deem necessary to protect you, Delve+ or our partners from identity theft or other fraudulent or illegal activity. You may not use as a username the name of another person or entity, or a name or trademark that is subject to any third party rights, or a name that is otherwise offensive or obscene.

Limitation of Liability

In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service, including the defamatory, infringing, offensive or illegal conduct of any third party; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

We are not responsible or liable for any materials submitted by you or any third party on or through the Service. We cannot verify the accuracy of statements that users make or place on or through the Service, and we do not guarantee that any third party materials have been submitted with the permission of the copyright (or other intellectual property) owner or are otherwise in compliance with these Terms of Service.

Any claim against us shall be limited to the amount you paid, if any, for use of the Service.

Miscellaneous

By accepting the Terms and Conditions of Service you authorise us to send you emails from time to time. This may include information on future content as well as information relating to your account. These will be via emails to the email address provided during registration.

These Terms and Conditions of Service shall be governed by and construed in accordance with any consumer protection rights that you may be entitled to under the mandatory laws of your country of residence. If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting us.

If any provision or provisions of these Terms of Use shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

Delve+ may change these Terms and Conditions and the Privacy Policy at any time. By continuing to access Delve+ service you agree to be bound by any amendments. We recommend you regularly review these Terms and Conditions and the Privacy Policy to see any updates or changes to our Terms and Conditions.

We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration.
